FLOORTEX IMAGE BANK TERMS AND CONDITIONS OF USE:

The FLOORTEX IMAGE BANK is the corporate collection of photography, logos, icons and promotional material provided by FLOORTEX EUROPE LTD for use by its customers in relation to the promotion and sale of Floortex products.  Images included in the FLOORTEX IMAGE BANK are provided for use in catalogues, websites, promotional flyers and any other form of advertising materials used to support the sale of products supplied by FLOORTEX EUROPE LTD.
By signifying your agreement below, or by using any of the images or materials included in the FLOORTEX IMAGE BANK ("Images"), you (the “User”) will be deemed to have read and understood the following terms and conditions and agree to be bound by them.  Access to and use of the Images is contingent upon your agreement to such terms and conditions:

1. Images may be used in relation to the promotion and sale of FLOORTEX products ONLY and the use of Images to promote or represent products not supplied by FLOORTEX EUROPE LTD or for any other purposes without prior agreement in writing from FLOORTEX EUROPE LTD is expressly prohibited. Acceptable uses of Images in relation to the promotion and sale of FLOORTEX products include: catalogue pages, websites and other internet use, promotional flyers, product information sheets, point of sale materials, newspaper advertising, television advertising and cinema advertising.
   
   
2. Copyright and all other intellectual property rights in the Images included in the FLOORTEX IMAGE BANK reside solely with FLOORTEX EUROPE LTD and/or its licensors unless expressly stated otherwise. FLOORTEX EUROPE LTD grants the User a non-exclusive, non-transferable licence to use the Images for the purposes set out in paragraph 1 above only.
   
   
3. FLOORTEX EUROPE LTD makes no warranties in respect of and shall incur no liability to the User in relation to the Images or its use of the Images.
   
   
4. Images must not be modified  other than in respect of resizing, reducing resolution, image file format conversion and adding appropriate labels with the prior agreement of FLOORTEX EUROPE LTD. Where Images to the User’s exact specifications are not available in the FLOORTEX IMAGE BANK then the User must contact FLOORTEX EUROPE LTD to lodge a direct request either for customised Images to be produced and supplied or for prior authorisation of any proposed modifications.
   
   
5. FLOORTEX EUROPE LTD reserves the right to suspend or terminate the User’s licence and access to the FLOORTEX IMAGE BANK at any time upon notice to the User where a User is found or suspected to be using Images for the promotion of products not supplied by FLOORTEX EUROPE LTD or for any other prohibited purpose. The User must return, amend or cease use of any Image (including any electronic copies) should FLOORTEX EUROPE LTD request it at any time and FLOORTEX EUROPE LTD reserves the right to take any legal or other preventative action that may be required to prevent further use of the Images by or through the User.
   
   
6. FLOORTEX EUROPE LTD reserves the right to refuse or restrict access to the FLOORTEX IMAGE BANK for any reason at any time and shall incur no liability to the User in respect of any such refusal or restriction.
   
   
7. The licence granted by FLOORTEX EUROPE LTD is personal to the User and distribution or supply of any Images to any third party without the prior written consent of FLOORTEX EUROPE LTD is expressly prohibited.

Disclaimer and Indemnity

1. The FLOORTEX IMAGE BANK has been produced and collated in order to support the promotion and sale of the products of FLOORTEX EUROPE LTD including floor protection mats, chair mats, anti-static mats, anti-slip mats, stair treads, design printed mats, entrance mats, desk protection products and custom entrance mats. Any additional props, furniture or other items featured or included in any Images other than the main FLOORTEX product featured (including without limitation chairs, desks, flooring, soft furnishings, computers, brochures, stationery or plants) are not and shall not be represented by the User as being part of either the User’s or FLOORTEX EUROPE LTD’s product offer and FLOORTEX EUROPE LTD accepts no liability for any claims from end customers in respect thereof.
   
   
2. The User shall indemnify FLOORTEX EUROPE LTD in full against any and all losses, costs and expenses of whatever nature incurred by FLOORTEX EUROPE LTD arising out of or in connection with any breach by the User of these terms and conditions of use or through its use of any Image other than as permitted under these terms and conditions of use.
